• Proposal
• Quote
• Contract
• Invoice or Statement of Work (SOW)

These documents override general terms if conflicts exist.

3. Payments & Billing

Unless otherwise agreed:

• 50% upfront payment required to commence work
• Remaining balance due before launch or final delivery
• Monthly services billed in advance
• Late payments may result in service suspension

All prices exclude GST unless stated.

4. Client Responsibilities

Clients agree to:

• Provide accurate information and timely feedback
• Supply content, approvals, and assets required
• Maintain domain, hosting, or third-party accounts where applicable
• Ensure legal compliance of provided content

Delays from client side may affect timelines.

5. SEO, GEO & Marketing Disclaimer

We follow best practices for:

• Technical SEO
• Website optimisation
• Marketing automation and lead nurturing

However, results depend on external factors including:

• Search engine algorithm changes
• Competition and market conditions
• Content quality and client activity
• Advertising budgets and platforms

Therefore, rankings, traffic, or leads cannot be guaranteed.

6. Intellectual Property

Upon full payment:

• Final deliverables become client property
• CodifyAny retains rights to underlying tools, frameworks, and know-how
• We may showcase work in our portfolio unless restricted in writing
• Third-party licenses remain subject to their terms.

7. Hosting & Maintenance Services

If hosting or managed services are provided:

• Reasonable uptime is targeted but not guaranteed
• Scheduled maintenance may occur
• Security best practices are implemented, but absolute security cannot be guaranteed
• Clients remain responsible for backups unless included in the package.

8. Confidentiality

Both parties agree to keep confidential:

• Business information
• Technical data
• Commercial details
• Client/customer data

This obligation survives termination.

9. Limitation of Liability

To the extent permitted by law:

• We are not liable for indirect or consequential losses
• Total liability limited to fees paid for services in the last 3 months
• No liability for third-party platforms or services

10. Termination

Either party may terminate:

• With written notice (typically 30 days for ongoing services)
• Immediately for breach or non-payment

Outstanding fees remain payable.

11. Governing Law

These terms are governed by the laws of New Zealand unless otherwise agreed.

We may update these terms periodically. Continued use of services indicates acceptance.
